Vendor Terms / Partner Terms

These Vendor Terms / Partner Terms (“Vendor Terms”) apply to companies seeking to participate as a preferred vendor or business partner with the American Restaurant Purchasing Group & Restaurant Association (“American RPGA”). They supplement the Website’s Terms & Conditions.

1. Purpose of the Vendor Network

American RPGA works to connect restaurant operators with companies that can provide food, supplies, equipment, technology, professional services, facilities services, and other resources used by restaurants.

Vendor participation is intended to create mutually beneficial relationships and provide participating restaurants with access to relevant products, services, and purchasing opportunities.

2. Vendor Application and Review

Companies seeking participation must provide accurate and complete information in their vendor application and respond to reasonable requests for additional information.

Submission of an application does not guarantee approval, preferred-vendor status, placement on the Website, or access to a particular number of restaurant members.

3. Vendor Standards

Participating vendors are expected to conduct business professionally and to maintain appropriate licenses, permits, insurance, certifications, and regulatory compliance applicable to the products or services they provide.

Vendors are responsible for ensuring that their products, services, representations, pricing, advertising, and business practices comply with applicable laws and regulations.

4. Pricing and Program Terms

Where a vendor offers preferred pricing, discounts, rebates, programs, or other benefits to American RPGA participants, the applicable program may be subject to written terms established between the vendor and American RPGA or between the vendor and participating restaurants.

Pricing, minimums, availability, delivery requirements, geographic service areas, taxes, fees, warranties, and other conditions may vary and should be clearly communicated to participating restaurants.

5. Vendor Responsibilities

Vendors remain responsible for:

  • The quality, safety, legality, and suitability of their products and services
  • Accurate product and service descriptions
  • Pricing and billing
  • Orders, fulfillment, delivery, installation, repair, and service where applicable
  • Customer support and complaint resolution
  • Applicable warranties and guarantees
  • Maintaining required licenses, insurance, certifications, and permits

6. Relationship With Restaurant Members

American RPGA does not become a party to every transaction between a preferred vendor and a restaurant member. Unless expressly agreed otherwise in writing, the vendor and restaurant are responsible for their individual transaction, including payment, delivery, performance, warranties, and disputes.

7. Marketing and Use of Vendor Information

By participating as a preferred vendor, a vendor may authorize American RPGA to identify the vendor as a participating company and to display approved business information, logos, descriptions, or program information for purposes of promoting the American RPGA network.

Vendors should provide materials that they have the right to use and authorize American RPGA to display.

8. No Guaranteed Volume or Results

Preferred-vendor participation does not guarantee a particular number of leads, customers, orders, revenue, savings, or transaction volume.

Results may depend on restaurant participation, geographic coverage, pricing, product availability, market conditions, vendor performance, and other factors.

9. Confidentiality

Vendors may receive non-public business information in connection with their relationship with American RPGA or participating restaurants. Vendors agree to use such information only for legitimate business purposes and to protect confidential information from unauthorized disclosure.

10. Suspension or Termination

American RPGA may suspend or terminate a vendor relationship if a vendor materially violates these Vendor Terms, provides materially false information, fails to maintain required qualifications, engages in unlawful or deceptive conduct, repeatedly fails to meet agreed service expectations, or otherwise materially harms American RPGA or participating restaurants.

American RPGA may also discontinue a particular vendor program or relationship as business circumstances change.

11. Vendor Representations

By participating, the vendor represents that the information it provides to American RPGA is accurate to the best of its knowledge and that it has authority to enter into the applicable vendor relationship.
